Resilience Investment Holdings Ltd Announces That It Has Received All Necessary Regulatory Approvals to Complete the Tender Offer for All Shares and Equity Securities in Tecnotree

Resilience Investment Holdings Ltd (“Offeror”) has, on February 5, 2026, commenced a voluntary recommended public cash tender offer for all the issued and outstanding shares (the “Shares” or, individually, a “Share”), all the issued fully paid compulsory convertible debentures (the “CCDs”), all the warrants given in connection with the issue of CCDs (the “Warrants”), and all the issued and outstanding options (the “Options,” and together with the CCDs and Warrants, the “Equity Securities”) in Tecnotree Corporation (“Tecnotree” or the “Company”) that are not held by Tecnotree or any of its subsidiaries (the “Tender Offer”). The offer period for the Tender Offer commenced on February 5, 2026, at 9:30 a.m. (Finnish time) and it will expire on July 15, 2026, at 4:00 p.m. (Finnish time), unless the offer period is discontinued in accordance with, and subject to, the terms and conditions of the Tender Offer and applicable laws and regulations.
As set out in the terms and conditions of the Tender Offer, one of the conditions to completion of the Tender Offer is the receipt of necessary regulatory approvals, permits, clearances and consents under applicable competition laws or other regulatory laws. The Offeror announces that it has today received an approval from the Nigerian competition authority regarding the Tender Offer. In addition, as announced by the Offeror on May 27, 2026, it has previously received the approval for the Tender Offer from the Kuwaiti competition authority. Therefore, the Offeror confirms that the condition to completion of the Tender Offer concerning the receipt of necessary regulatory approvals, permits, clearances and consents under applicable competition laws or other regulatory laws has been fulfilled.
The completion of the Tender Offer is still subject to customary conditions to completion set out in the tender offer document, including the valid acceptance with respect to Shares and CCDs representing, together with the Shares and CCDs to be contributed by Fitzroy Investments Limited (“Fitzroy”) and Padma Ravichander (“Ravichander”) to the Offeror and any other Shares or CCDs otherwise acquired by the Offeror prior to the date of the Offeror’s announcement of the final result of the Tender Offer, more than ninety (90) percent of the Shares and voting rights in the Company, calculated on a diluted basis to include the CCDs on an as-converted basis, or waiver by the Offeror of such conditions on or prior to the date of the Offeror’s announcement of the final result of the Tender Offer.
The Offeror will supplement the tender offer document to reflect the information contained in this release, as applicable, and will publish a supplement document once it has been approved by the Finnish Financial Supervisory Authority.
The Offeror will announce the preliminary result of the Tender Offer on or about July 16, 2026, and the final result of the Tender Offer on or about July 20, 2026. If the Tender Offer is completed, the applicable offer prices will be paid to each shareholder and holder of equity securities of Tecnotree who has validly accepted, and not validly withdrawn, the Tender Offer in accordance with the terms and conditions of the Tender Offer. The schedule for the payment of the offer prices will be confirmed in connection with the announcement of the preliminary result of the Tender Offer.

The Tender Offer will be made for the issued and outstanding Shares and Equity Securities in Tecnotree, which is domiciled in Finland, and is subject to Finnish disclosure and procedural requirements.
